1. Acceptance of these terms
These Terms of Service (the "Terms") are an agreement between you and Rocky Soft Inc., a company incorporated in Alberta, Canada ("Rocky Soft", "we", "us"), and they govern your use of Timewix, the time tracking, invoicing, payroll, and team management service available at timewix.com. By creating an account or using Timewix you accept these Terms. If you do not agree with them, do not use the service.
Timewix is a business tool intended for business and professional use. You must be old enough to form a binding contract in your jurisdiction. If you use Timewix on behalf of a company or other organization, you represent that you have authority to bind it, and "you" in these Terms includes that organization.
2. Your account
You agree to provide accurate account information, to keep your sign-in credentials confidential, and to notify us promptly at support@timewix.com if you believe your account has been accessed without authorization. You are responsible for activity that happens under your account. Owners and administrators of an organization control who is admitted to it and what roles they hold, and are responsible for those decisions.
3. Acceptable use
You agree not to:
- use the service for any unlawful purpose, or store or send content that is unlawful or infringes the rights of others;
- attempt to gain unauthorized access to the service, other users' data, or the systems the service runs on, or probe or test their vulnerability without our written permission;
- interfere with the operation of the service, including transmitting malware or placing unreasonable load on it;
- scrape or bulk-extract data from the service other than through the export features it provides;
- resell, sublicense, or offer the service to third parties as your own, or copy any part of it to build a competing product.
We may suspend or restrict an account that puts the service or other users at risk while we investigate.
4. Subscriptions, billing, and cancellation
Timewix offers free plans and paid subscriptions; current prices, seat counts, and plan limits are published on our pricing page. Payments are processed by Stripe under Stripe's own terms; we never store your card number. Stripe also calculates and applies any tax due based on your billing details.
Paid plans are billed monthly and renew automatically until cancelled. Organization plans are billed per seat, so the charge adjusts as members are added or removed. You can cancel at any time from the subscription settings in the app; cancellation takes effect at the end of the current billing period, and you keep paid features until then. Except where the law requires otherwise, fees are non-refundable and we do not prorate partial periods. If we change a price, we will give you advance notice before it applies to you, and the change takes effect at your next renewal after the notice.
If a plan ends, nothing you created is deleted: data beyond the free plan's limits is archived and can be restored by upgrading again.
5. Your content and data ownership
You own the content you put into Timewix: your projects, clients, time entries, invoices, payroll records, and everything else you or your team creates. You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display that content solely as needed to operate and provide the service, including keeping backups. This license ends when the content is deleted from the service, subject to backup cycles described in our Privacy Policy.
Content created inside an organization is controlled by that organization. You are responsible for the content you store, including having the right to use your clients' details on invoices you issue. We do not use your content for advertising and we do not sell it.
6. Third-party services
Parts of Timewix depend on third-party services, and your use of those parts is also subject to their terms: Stripe for payments, Plaid for bank connections, and Google if you sign in with it. When you connect a bank account you authorize Plaid to access it and to share read-only account, balance, and transaction data with us as described in our Privacy Policy. We are not a party to your relationship with your bank, and we are not responsible for third-party services we do not control, including their outages.
7. Service availability and changes
We work to keep Timewix available and fast, but the service is provided without an uptime guarantee, and availability may be interrupted by maintenance, updates, or events outside our control. We may change, suspend, or discontinue features as the product evolves. If we ever discontinue the service as a whole, we will make reasonable efforts to give you notice and an opportunity to export your data first.
8. Intellectual property
The service itself (its software, design, and the Timewix name and branding) belongs to Rocky Soft and its licensors. These Terms give you a right to use the service, not any other license to it. If you send us feedback or suggestions, we may use them to improve the service without any obligation to you.
9. Termination
You may stop using Timewix at any time and may delete your account from the app's settings, which removes your personal data as described in our Privacy Policy. We may suspend or terminate your access if you materially breach these Terms, use the service unlawfully, or fail to pay fees when due, and we will give notice where practicable. Export tools are available in the app, and we encourage you to use them before closing an account. Sections of these Terms that by their nature should survive termination (including data ownership, disclaimers, limitation of liability, and indemnification) survive it.
10. Disclaimer of warranties
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the service will be uninterrupted, error-free, or secure. Timewix is a tool for running your billing and payroll workflow; it is not accounting, tax, or legal advice, and you remain responsible for the accuracy and lawfulness of the invoices and payroll you issue with it.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither Rocky Soft nor its suppliers will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, however caused and under any theory of liability; and (b) our total aggregate liability for all claims arising out of or relating to the service is capped at the fees you paid us in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; in that case it applies to the fullest extent the law permits.
12. Indemnification
You will defend and indemnify Rocky Soft against third-party claims, and the reasonable costs of them, to the extent they arise from the content you store in the service, your use of the service in violation of these Terms, or your violation of law or of the rights of a third party.
13. Changes to these terms
We may update these Terms as the service and the law evolve. If a change is material, we will notify you by email or with a notice in the app before it takes effect. Continuing to use the service after a change takes effect means you accept the updated Terms; if you do not agree, stop using the service and cancel any subscription before the change applies.
14. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of laws rules. Any dispute arising out of these Terms or the service will be brought exclusively in the courts of Alberta, Canada, and you consent to their jurisdiction.
15. General
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and the plan and pricing details published on our site, are the entire agreement between you and Rocky Soft about the service, and they supersede any prior agreements about it.
